First Power Generating Company completes reorganization

The reorganization of OGK-1 JSC (First Power Generating Company) was completed on October 2, 2006. As a result of the reorganization, the five joint-stock electric power stations integrated into First Generating Company became its branches. The first was State District Power Plant of Verkhny Tagil (it acquired the status of OGK-1 branch in the summer of 2005)

On October 2, 2006 Tyumen Regional Department of Russian Federal Tax Service registered the discontinuance of operating of the join-stock power stations due to reorganization resulting in affiliation to another business. The shares of the joint-stock companies affiliated to OGK-1 are to be converted to OGK-1 JSC shares on October 29, 2006.

The share of RAO UES of Russia in the newly reorganized OGK-1 amounts to 92.16%; the shares of minority holders come to 7.84%. When the First Generating Company report on the results of the additional share issues is registered, the company’s authorized capital will come to 44.5bn RUR approximately. This was reported by PR-department of OGK-1 JSC.
